1. Affiliate Relationship 

You agree to promote Seaonic products in a truthful, professional, and brand-aligned manner across your social platforms, website, or other digital channels. This agreement does not create an employment, agency, or joint venture relationship between you and Seaonic. You are considered an independent contractor.  

2. Content Usage & Licensing 

By participating as an affiliate, you grant Seaonic the irrevocable, worldwide right to use your name, image, likeness, content, testimonials, and social media handle(s) (“Content”) for advertising, marketing, and promotional purposes across all media platforms, including but not limited to social media, web, email, and paid advertising (e.g., Meta Ads). 

This license includes: 

• Rights to display, distribute, edit, or create derivative works. 
• The right to use your Content for both organic and paid promotions.  

3. Compensation & Commission 

You will receive a commission for valid purchases made using your unique affiliate link or discount code, as outlined in your onboarding email. 

• Seaonic reserves the right to adjust commission rates at its sole discretion with notice.
• Commissions will not be paid on self-referrals or fraudulent purchases. 
• Payouts will be made monthly (or as agreed) once the minimum threshold is met.  

4. Whitelisted Ad Campaigns (If Applicable) 

If invited to participate in Whitelisted Ads, you agree to: 

• Grant Seaonic permission to run Meta ads under your handle via Meta’s branded content tools. 
• Provide ad access to approved posts or content featuring Seaonic. 
• Understand that Seaonic cannot post or edit on your behalf; only promote existing content. 
• Ads will clearly state “Paid Partnership with Seaonic.”  

5. Brand Representation & Conduct 

You agree to: 

• Only make claims about Seaonic that are truthful and not misleading. 
• Avoid posting offensive, discriminatory, or misleading content while affiliated. 
• Represent the brand in a manner that aligns with Seaonic’s values (clean, natural, performance-driven wellness). 

Seaonic reserves the right to terminate your affiliate status if you breach these obligations or damage the brand’s reputation.  

6. Deliverables (If Agreed Upon) 

If your partnership includes a content deliverables agreement: 

• You will publish the agreed-upon number of posts, reels, or stories within the timeframes specified. 
• You must connect your social accounts to our tracking platform (e.g., Social Snowball) for attribution. 
• Failure to deliver may result in removal from the affiliate program and cancellation of pending rewards.  

7. Intellectual Property 

All promotional assets and branding provided by Seaonic remain the intellectual property of the Company and must not be altered or used outside of this partnership.  

8. Confidentiality 

You agree to keep any non-public information, product details, or business strategies disclosed during the partnership confidential unless explicitly authorized otherwise.  

9. Termination 

Either party may terminate this agreement at any time in writing. Upon termination, all use of Seaonic branding, affiliate links, and promotional material must cease immediately. 

10. Limitation of Liability 

Seaonic shall not be liable for any indirect, special, or consequential damages arising out of this program. The Affiliate agrees to indemnify and hold Seaonic harmless from any claims arising from their breach of these terms.  

11. Governing Law 

This agreement shall be governed by the laws of the State where Seaonic is incorporated. Any disputes shall be resolved via binding arbitration.
